PRISCA DEZIGNS — CLIENT CONFIDENTIALITY & NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement ("Agreement") is entered into between Prisca Dezigns ("Agency") and the undersigned client ("Client").
1. CONFIDENTIAL INFORMATION
Both parties agree to keep all shared information strictly confidential. This includes but is not limited to: business strategies, branding concepts, creative briefs, financial information, client lists, proprietary tools, marketing plans, and any other materials shared during the engagement.
2. NON-DISCLOSURE
Neither party shall disclose, reproduce, distribute, or use any confidential information for any purpose outside the scope of this engagement without prior written consent from the other party.
3. OWNERSHIP OF WORK
All deliverables created by Prisca Dezigns remain the intellectual property of the Agency until full payment is received. Upon full payment, ownership transfers to the Client.
4. SOCIAL PROOF
Prisca Dezigns reserves the right to display completed work in its portfolio and marketing materials unless the Client requests otherwise in writing.
5. DURATION
This Agreement remains in effect for 2 years from the date of signing and survives termination of the working relationship.
6. GOVERNING LAW
This Agreement shall be governed by applicable laws. Any disputes shall first be attempted to be resolved through good-faith negotiation.
7. ACCEPTANCE
By signing below, the Client confirms they have read, understood, and agree to the terms of this Confidentiality Agreement.
