Service Agreement

This Service Agreement ("Agreement") is entered into between Prisca Dezigns, a digital agency based in Trinidad and Tobago ("Service Provider"), and you, the client ("Client"), upon your selection and payment for any template service offered through the Prisca Dezigns Template Shop.
By completing your order, you confirm that you have read, understood, and agree to be bound by this Agreement in full.

1. Scope of Work
Prisca Dezigns agrees to deliver the following services based on the package selected by the Client:
Template Website ($149.99 setup + $19.99/mo)
- One (1) pre-designed template from the Prisca Dezigns catalogue, customised with Client-supplied content
- Integration of Client's logo, brand colours, photos, and written copy
- Deployment to a live subdomain (e.g. yourbusiness.priscadezigns.org)
- One (1) round of revisions included
- Ongoing hosting for the duration of the active subscription
Micro Store ($249.99 setup + $34.99/mo)
- All items included in the Template Website package
- Product upload and configuration for up to 12 products
- WhatsApp order button integration per product
- Post-launch product additions billed at $9.99 per product
Premium 3D Template ($299.99 setup + $19.99/mo)
- All items included in the Template Website package
- High-fidelity 3D or WebGL-powered template with advanced animations
- One (1) round of revisions included
Add-Ons (if selected)
- Copywriting Add-On ($49.99): Prisca Dezigns writes all website copy (About, Services, and supporting text). Post-launch copy updates billed at $4.99 per request.
- AI Chatbot Add-On ($349.99 setup + $49.99/mo): A custom AI chatbot trained on your business FAQs (hours, services, location, contact). Scope is strictly limited to your business information.
2. Client Responsibilities
The Client agrees to provide the following within 48 hours of payment confirmation to ensure timely delivery:
- High-resolution logo (PNG or SVG with transparent background preferred)
- Brand colours (hex codes or reference images)
- Photos or images for the website (minimum 3–5 quality images)
- Written content (About section, Services/Products, contact details) — unless the Copywriting Add-On was selected
- Any specific instructions or references for the design
Note: The 24-hour build guarantee begins only upon receipt of all required materials. Delays in material submission will delay delivery accordingly and do not constitute a breach by Prisca Dezigns.
3. Delivery & Timeline
- Build time: Your website will be live within 24 hours of receiving all required materials and confirmed payment
- Staging delivery: Your site will first be deployed to a staging path — fully functional and shareable from day one
- Subdomain activation: Your permanent subdomain will be configured within 24 hours of build completion
- DNS propagation: Global DNS propagation may take an additional 24–72 hours and is outside Prisca Dezigns' control
- You will be notified via WhatsApp at each stage: materials received, build complete, subdomain configured, and site fully live
4. Payment Terms
- The one-time setup fee is due in full at the time of order
- Monthly hosting fees are billed on a recurring basis from your launch date
- All prices are in USD
- Accepted payment methods: PayPal and Bank Transfer
- Work begins only after payment is confirmed — no exceptions
- If monthly payment is not received within 7 days of the renewal date, your website may be suspended without further notice
5. Revisions
- One (1) round of revisions is included in your setup fee
- A "revision" includes reasonable changes to text, colours, photos, or layout within the existing template structure
- A revision does not include switching to a different template, a full redesign, or structural changes that fall outside the original scope
- Additional revisions beyond the included round are billed at the rate quoted at the time of request
- Major redesigns or template changes may incur a new setup fee
6. Cancellation & Refund Policy
- You may cancel your subscription at any time by contacting Prisca Dezigns via WhatsApp or email
- Your website will remain live until the end of the current paid billing period
- No refunds are issued once work has commenced — this includes the setup fee once materials have been received and the build has begun
- No refunds are issued for partial months of hosting
- If Prisca Dezigns is unable to deliver within the agreed timeline due to an internal failure (not caused by Client delays), the Client is entitled to a full refund of the setup fee
7. Intellectual Property
All template designs, source code, layouts, and visual structures in the Prisca Dezigns Template Shop are the exclusive intellectual property of Prisca Dezigns and are protected under applicable copyright law.
- The Client receives a limited, non-exclusive, non-transferable licence to use their customised website instance while their subscription is active
- This licence terminates immediately upon cancellation or non-payment
- The Client may not copy, reverse-engineer, resell, redistribute, or repurpose any part of the template design or code
- The Client's own content (photos, logo, written copy) remains the sole property of the Client at all times
- Prisca Dezigns will never repurpose or redistribute Client content without written consent
8. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of this engagement. Prisca Dezigns will not disclose Client business details, branding, or content to any third party without prior written consent.
9. Limitation of Liability
Prisca Dezigns will make every reasonable effort to deliver and maintain the agreed services. However, Prisca Dezigns shall not be liable for:
- Loss of business, revenue, or profit arising from website downtime or delays
- Downtime caused by third-party hosting or infrastructure failures
- Errors, omissions, or inaccuracies in content supplied by the Client
- Any indirect, incidental, or consequential damages
Prisca Dezigns' total liability under this Agreement shall not exceed the total amount paid by the Client in the 3 months preceding the claim.
10. Governing Law
This Agreement is governed by the laws of the Republic of Trinidad and Tobago. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Trinidad and Tobago.
11. Amendments
Prisca Dezigns reserves the right to update this Agreement at any time. Clients will be notified of material changes via the WhatsApp number or email address on file. Continued use of services after notification constitutes acceptance of the updated Agreement.
